Terms and Conditions

Verba Content Strategy Pte. Ltd. Is hereinafter referred to as “the Company.” By using the Company’s services, you acknowledge and confirm that you have understood the content of this document, and that you agree to be bound by the provisions written herein.

1. Request for Services

1.1. Each request for any of Verba Content’s services is made subject to these Terms and Conditions.

1.2. A request for any of the Company’s services can be made by: a) filling out the Contact Form on the Company Website, b) emailing the Company.

1.3. With respect to any request that may be submitted, no contract exists between Verba Content and the Client unless and until there is an accepted quotation.

2. Quotations

2.1. The Company provides varying quotations based on the information provided by the Client in his/her request. All price quotes are thoroughly considered in light of the project requirements.

2.2. Verba Content reserves the right to amend any quotation should the project specifications change, or if it becomes apparent that the requirements were not communicated clearly and accurately by the Client at the onset of the project.

2.3. Quotations submitted by the Company will remain valid for a period of three (3) months from the date of issue.

2.4. To accept a quotation, the Client is required to sign the quotation form and/or email Verba Content.

2.5. Verba Content reserves the right to decline a job if the project involves any material which the Company, at its discretion, considers to be offensive, obscene, inappropriate, contrary to any law, or otherwise against Verba Content’s core values.

3. Deposits and Payment

3.1. The Client may be required to pay a deposit of up to 50 percent following the acceptance of the quotation, with the remainder to be paid following the issue of a final invoice upon completion of the project.

3.2. The charges in the final invoice must be paid within 15 days after the date of issue. A charge of 1% is assessed on accounts outstanding after 30 days of issuance

4. Client Instructions

4.1. The Client shall provide clear and detailed instructions regarding the project request. Verba Content will strive to meet the Client’s requirements and contact you with diligence for any matter that needs clarification.

4.2. The Client must provide all information that Verba Content requires with respect to the Service/s requested and ensure that all such information is accurate.

5. Content Submission and Revisions

5.1. Verba Content will agree with the client on the number of rounds of revisions required to complete the project. If no agreement has been made, the first submission shall be deemed final.

5.2. The Client shall have five (5) working days to inform Verba Content of any alterations to be applied to the project for each round of revision. If the Company is not informed about the changes by the Client within this timeframe, Verba Content will assume that the service has been executed to the Client’s satisfaction, and an invoice for any outstanding amount will be issued.

5.4. In the event that the Client requires revisions at a date beyond the time period previously agreed Clause 5.2, Verba Content reserves the right to charge an extra fee.

5.5. The Company requires a reasonable minimum period to complete each task, and that time period will be communicated to the Client. A Rush Fee is chargeable for any services to be completed within (3) three working days.

5.6. Verba Content reserves the right to discontinue our business relationship with a Client if we believe that our revision policy is being abused. This termination of contract  does not obligate the Company to provide a refund for any payments made.

6. Cancellation of Orders and Refunds

6.1. If the Client decides to cancel an order, the Client must inform Verba Content within three (3) working days after the placement of the order.

6.2. The Company will only provide a full refund for payments deposited if no work has been completed yet at the time of order cancellation.

6.3. If Verba Content has already accomplished a certain percentage of the project upon order cancellation, the Company is liable to refund a partial amount determined based on the amount of work already completed.

6.4. Once an order has been completed, the Client has no right to cancel the order and shall be responsible to pay the full amount specified in the quotation.

6.5. Any revisions to the initial requirements of an order after the commencement of work will be liable to charges.

7. Limitation of Liability and Indemnification

In no event shall Verba Content, nor its directors, employees, agents, partners, or suppliers, be liable under contract, tort, strict liability, negligence or any other legal or equitable theory with respect to the services (i) for any lost profits, data loss, cost of procurement of substitute goods or services, or special, indirect, incidental, punitive, compensatory or consequential damages of any kind whatsoever, substitute goods or services (however arising), (ii) for any bugs, viruses, trojan horses, or the like (regardless of the source of origination), or (iii) for any direct damages. The Client agrees to indemnify and hold Verba Content harmless with respect to any claims or actions by third parties against Verba Content based upon materials furnished by Client or where material created by Verba Content is substantially changed by Client. Information or data obtained by Verba Content from Client to substantiate claims made in advertising shall be deemed to be “materials furnished by Client.”

8. Copyright

During the completion of an order, the copyright produced by any staff employed by Verba Content belongs to the Company. Once full payment has been confirmed, the copyright is legally transferred to the Client and does not require a written contract to make this agreement legally binding.

9. Changes to the Terms and Conditions

Verba Content reserves its right to make alterations, omissions, additions, and revisions to this Terms and Conditions document at our discretion. Your continued use of any of our services serves as an acknowledgement of the changes made.
